These Terms and Conditions, as may be updated from time to time (the "Terms"), govern the terms upon which Angle Labs, Inc. ("Angle Labs", "we", "us", or "our") provides you (the "Developer", "you") with access to the Merkl Developer Portal at developer.merkl.xyz, the Merkl API, the Analytics API, and related documentation and tooling (together, the "Developer Services").Angle Labs, Inc. is a BVI Business Company organized under the laws of the British Virgin Islands, having its registered office located at Trinity Chambers, PO Box 4301, Road Town, Tortola, British Virgin Islands, incorporated under number 2068050, owner of the Merkl brand.Please read these Terms before you use the Developer Services. By accessing the Developer Portal, creating a developer account, or using the Merkl API, you acknowledge and agree that you have read these Terms and agree to be bound by them. If you do not agree, you must not access or use the Developer Services.

1. Subject

Angle Labs operates the Developer Portal to give developers access to the Merkl API and Analytics API, reference documentation, guides for crafting campaigns, and the ability to generate and manage API keys for production access. These Terms define the conditions of access to and use of the Developer Services and the content offered therein.These Terms are the only contractual documents relating to the Developer Services enforceable against Angle Labs, to the exclusion of any other document of an informational, non-contractual nature. Your separate use of the Merkl application to create incentivization campaigns is governed by the Merkl Terms and Conditions applicable to that application.

2. Acceptance and Enforceability

These Terms are accepted by the Developer when accessing the Developer Portal and using the Developer Services. Angle Labs reserves the right to adapt or modify these Terms at any time. Any new version posted online will prevail over any previous version. Your continued use of the Developer Services after any such change constitutes your consent to it. The applicable version is the one accessible online while you are using the Developer Services.You understand and agree that we may discontinue or restrict your access to the Developer Services at any time, with or without notice, including where we suspect, in our sole discretion, that you (a) use the Developer Services for any illegal activity, fraud, or abuse; (b) are subject to sanctions administered by OFAC, the United Nations, the European Union, His Majesty's Treasury, or any other applicable authority, or are located, organized, or resident in a comprehensively sanctioned jurisdiction; or (c) have otherwise acted in violation of these Terms. These Terms are concluded for an indefinite period.

3. The Developer Services

The Developer Services include, without limitation:

The Merkl API and the Analytics API, for reading opportunities, campaigns, rewards, and position data;
Reference documentation, schemas, and step-by-step guides for crafting and encoding campaigns;
Developer account creation (via Google sign-in or a self-custodial wallet) and API key management.

Angle Labs may, at any time and without notice, develop, improve, adapt, or discontinue all or part of the Developer Services, including the roll-out of updates and new versions or the removal of existing features, according to the evolution of technologies. In case of definitive discontinuation of a Developer Service, Angle Labs will use reasonable endeavours to provide reasonable notice.

4. Accounts and API Keys

To access certain Developer Services you must create a developer account by signing in with Google or by connecting a self-custodial wallet. You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under them. API keys are personal to your account and must not be shared, resold, or sublicensed.You must keep your API key secret. If you believe a key has been compromised, you must revoke it immediately using the Developer Portal and generate a new one. Angle Labs is not liable for any loss arising from your failure to secure your credentials or keys. We may throttle, suspend, or revoke API access and keys at our sole discretion, including to protect the security, integrity, or availability of the Developer Services.

5. Acceptable Use

When using the Developer Services, you agree that you will not:

Exceed published rate limits, circumvent access controls, or use multiple accounts or keys to evade limits;
Use the Developer Services to build, train, or enrich any product in a way that competes with or replicates Merkl by scraping or bulk-extracting data beyond the intended API usage;
Interfere with, disrupt, overload, or attempt to gain unauthorized access to the Developer Services or their related infrastructure;
Use the Developer Services for any unlawful, fraudulent, deceptive, or abusive purpose;
Reverse engineer, decompile, or attempt to extract source code, except to the extent permitted by law;
Misrepresent the source of Merkl-sourced data or fail to attribute Merkl as required by the attribution guidelines.

Any display of Merkl-sourced data and any use of the Merkl brand must comply with the attribution & branding guidelines and the brand assets published in this portal. Non-compliance may result in API access being throttled or revoked.

6. Fees

Access to the Developer Services may be offered free of charge, subject to rate limits, or on paid tiers. Where fees apply, the applicable amount and terms will be communicated to you before they are incurred. Angle Labs reserves the right to introduce, modify, or remove fees and rate limits at any time, with reasonable notice for existing paid plans.

7. Intellectual Property

The Developer Portal, the Merkl API, the documentation, and the Merkl name, logos, and brand assets are owned by Angle Labs or its licensors and are protected by intellectual property laws. Subject to your compliance with these Terms, Angle Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Developer Services for the purpose of integrating with Merkl. No other rights are granted. Use of the Merkl brand is permitted only as set out in the attribution and brand asset guidelines.

8. Representations and Warranties

By using the Developer Services, you represent, warrant, and covenant that:

You have the legal capacity and authority to enter into these Terms and to perform your obligations;
You are at least 18 years old;
You are not subject to sanctions administered by OFAC, the United Nations, the European Union, His Majesty's Treasury, or any other applicable authority, and are not located in a comprehensively sanctioned jurisdiction;
You will comply with all laws and regulations applicable to your use of the Developer Services;
You will not use the Developer Services in any manner that could damage, disable, overburden, or impair them, or interfere with any other party's use.

9. Disclaimers

The Developer Services are based on experimental software provided "AS IS" and "AS AVAILABLE" without warranties of any kind. To the fullest extent permitted by law, Angle Labs disclaims all warranties, express or implied, including warranties of accuracy, availability, reliability, security, fitness for a particular purpose, and non-infringement.Angle Labs is not your agent, broker, fiduciary, investment adviser, legal adviser, or tax adviser. No data, documentation, or statement provided through the Developer Services constitutes investment, legal, tax, or regulatory advice. We make no warranty that the Developer Services will be uninterrupted, timely, secure, or error-free, or that data returned by the API is complete or accurate. There may be delays in onchain Merkle root updates and flaws in the scripts or infrastructure used to compute and update results. You are responsible for independently verifying any data you rely on.The Developer Portal may contain links to third-party websites and services that are not owned or controlled by us. We do not endorse and assume no responsibility for any such third-party content, and these Terms do not apply to your use of them.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall Angle Labs (nor its officers, directors, employees, agents, representatives, or affiliates) be liable for any direct, indirect, punitive, incidental, special, or consequential damages or losses arising out of or in any way connected with your access to or use of, or inability to access or use, the Developer Services, including but not limited to loss of profit, loss of data, business interruption, the unavailability or inaccuracy of API data, or unauthorized access to your account or keys, whether based on warranty, contract, tort, strict liability, or otherwise, and even if we have been advised of the possibility of such damages.To the maximum extent permitted by law, the aggregate liability of Angle Labs arising out of or in connection with these Terms shall not exceed the greater of (i) the total fees actually received by Angle Labs from you for the Developer Services during the three (3) months preceding the event giving rise to the claim, or (ii) one hundred US dollars (USD 100).

11. Indemnification

You agree to indemnify and hold Angle Labs and its affiliates, and their respective officers, directors, employees, agents, and contractors (the "Indemnified Parties") harmless from any losses, damages, judgments, fines, penalties, and costs, including legal fees, in connection with any claims, investigations, or proceedings arising out of or relating to: (a) your use of the Developer Services; (b) your violation of any law or regulation; (c) your breach of these Terms; (d) your misuse of API keys or Merkl-sourced data; or (e) any product or service you build using the Developer Services.

12. General Terms

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect. No waiver of any breach shall be valid unless in writing, and no failure or delay in exercising any right shall constitute a waiver of it.Angle Labs may assign its rights and obligations under these Terms without notice. You may not assign, transfer, or delegate any of your rights or obligations without our prior written consent. These Terms, together with the documents they reference, constitute the entire agreement between the parties regarding the Developer Services. These Terms may be translated; the English version prevails in case of any discrepancy.

13. Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to conflict of laws principles. In case of dispute, the parties will make every effort to find an amicable solution. In the absence of an amicable resolution within thirty (30) days of written notice, any claim or dispute shall be submitted to the exclusive jurisdiction of the competent courts of the British Virgin Islands.
